Terms of Service

Namirasoft Password (the Service) is owned and provided by Namira Software Corporation (Namirasoft, we, us, or our). These Terms of Service (the Terms) govern your access to and use of the Service. By accessing or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.

Namirasoft Password is part of the broader Namirasoft ecosystem and operates together with your Namirasoft Account. Use of the Service is also subject to the Namirasoft Account Terms of Service. These Terms apply specifically to Namirasoft Password and do not replace the Namirasoft Account Terms of Service. If there is any conflict between the two for your use of this Service, these Terms control for the Service. We may update these Terms over time; see Changes to These Terms.

1. Definitions

  • Namirasoft: Namira Software Corporation.
  • Service: Namirasoft Password, including its web console and browser extension.
  • Namirasoft Services (the ecosystem): the broader family of Namirasoft products that operate with your Namirasoft Account.
  • Account: your Namirasoft Account, which authenticates you across Namirasoft Services.
  • Master password: the password you choose to unlock your vault, which only you know and which is never sent to or stored by Namirasoft.
  • Vault: your collection of entries, protected by your master password.
  • Workspace: the Namirasoft Workspace an entry belongs to.

2. Account Registration

To use Namirasoft Password you must have an active Namirasoft Account. Your Namirasoft Account authenticates you and associates your vault with your account. Registration and identity are governed by the Namirasoft Account Terms of Service and the Namirasoft Account Privacy Policy.

3. Age Requirement

The Service is not intended for individuals under 18 years of age. By using the Service, you represent that you are at least 18 years old. Eligibility and accounts are managed by Namirasoft Account; if Namirasoft Account determines that an account belongs to a person under 18, the account and its information are handled under the Namirasoft Account Terms of Service.

4. Account Security

You are responsible for keeping your Namirasoft Account credentials and tokens confidential and for all activity that occurs under your account. Any use of the Service through your account is considered authorized by you. Your Namirasoft Account sign-in is separate from your master password, which is covered in the next section. Report any unauthorized access or suspected misuse promptly through support.namirasoft.com.

5. Description of the Service

  • Store your passwords securely: Namirasoft Password lets you save passwords and other sensitive information as entries, which are encrypted with a key derived from your master password so that only you can unlock them.
  • Generate, organize, and fill: you can generate strong passwords, organize your entries with templates, categories, tags, and fields, import entries from other password managers, and use the browser extension to fill your saved logins on the websites you visit.
  • Zero-knowledge design: your master password is never sent to or stored by Namirasoft, and the sensitive values you store are held only in encrypted form.

Namirasoft may provide the Service on its own or as part of your Namirasoft Services. Where any fees apply, they are handled by Namirasoft Payment under its own terms.

6. Your Master Password and Recovery

Your master password protects your vault, and you are responsible for choosing a strong one and keeping it confidential. Namirasoft never receives or stores your master password, and it is separate from your Namirasoft Account sign-in. When you create your master password, you set up recovery questions; if you forget your master password, you can regain access by answering those questions, which is performed on your device and does not give Namirasoft access to your entries. You are responsible for keeping your recovery questions and answers secure and memorable. Because of the zero-knowledge design, your master password and recovery details are the only keys that unlock your encrypted entries, and keeping them safe is your responsibility. We strongly recommend keeping your master password and recovery details safe.

7. Your Vault and Content

You are responsible for the entries you store and for having the right to store them. You retain your rights in your content, and you grant Namirasoft the right to store your encrypted vault and synchronize it across your devices, as needed to provide the Service. Because the sensitive values you store are encrypted with a key only you hold, you are the only person who can read them. You agree not to store content that is unlawful for you to hold or that infringes the rights of others. The collection, use, storage, retention, and protection of the information handled by this Service are governed by the Namirasoft Password Privacy Policy and, for identity and authentication, the Namirasoft Account Privacy Policy.

8. Acceptable Use

When using the Service, you agree to: use it only for its intended purpose and in compliance with applicable laws; not store or share credentials or content you are not authorized to hold; not use the Service to access accounts or systems without authorization; not attempt to access vaults or accounts that are not yours; not interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure; not reverse engineer, decompile, or misuse the Service beyond what its published source and licenses permit; not conduct security testing without our prior written permission; and report unauthorized access or suspicious activity promptly.

9. Third-Party Services

The browser extension operates on the websites you choose so it can offer to fill your saved logins, and those websites are governed by their own terms and privacy policies. You are responsible for your use of the Service on third-party websites and for the accounts you store. Namirasoft Password otherwise operates within the Namirasoft ecosystem and interoperates with other Namirasoft products, each governed by its own terms. If you separately access a service outside the Namirasoft ecosystem, that service is governed by its own terms.

10. Intellectual Property

The Service, including its software, design, text, and trademarks, is owned by Namirasoft and protected by applicable laws, except for components made available under their own open-source or other licenses, which are governed by those licenses. You retain any rights you may have in the content you store, and Namirasoft does not claim ownership of your entries or the data you store. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted by these Terms or an applicable license. If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free, perpetual license to use them to improve our products, without obligation to you.

11. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Namirasoft works to keep the Service reliable and available, and to the extent permitted by law it is provided without a warranty that it will be uninterrupted or error free. You are responsible for maintaining your master password and recovery details, which are the only keys that unlock your encrypted entries. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of Liability

To the maximum extent permitted by law, Namirasoft and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising from or related to your use of or inability to use the Service, including any inability to access your vault after losing your master password and recovery details, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the total amount you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred Canadian dollars if you paid nothing. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of these limitations may not apply to you, and in those cases our liability is limited to the smallest amount permitted by law.

13. Consumer Rights

Nothing in these Terms limits, excludes, or modifies any right or remedy you may have under applicable consumer protection law that cannot legally be limited, excluded, or modified. Where such law applies, the disclaimers and limitations above apply only to the extent permitted by that law.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Namirasoft and its personnel from any claims, damages, liabilities, and reasonable expenses arising out of your use of the Service, the content you store, your violation of these Terms, or your violation of applicable law or the rights of a third party. This section does not apply to the extent a claim results from Namirasoft’s own conduct.

15. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms or use the Service in a way that risks harm to others or to the ecosystem. We may also suspend access temporarily, with or without notice, to protect the security and integrity of the Service, its users, or the ecosystem, including where your account appears compromised or shows suspicious activity. Where reasonable and lawful, we will provide notice, and where practical give you an opportunity to export your vault. You may stop using the Service at any time. Provisions that by their nature should survive termination will continue to apply.

16. Modifications to the Service

We may change, improve, or discontinue features of the Service over time. Where a change materially reduces core functionality, we will make reasonable efforts to provide notice through Namirasoft Services.

17. Export and Sanctions Compliance

You represent that you are not located in, and will not use the Service from, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable Canadian or United States trade and sanctions laws. You agree to comply with all applicable export control and sanctions laws in your use of the Service.

18. Dispute Resolution and Governing Law

Before starting any formal proceeding, you agree to first contact us at accounts@namirasoft.com and attempt in good faith to resolve the dispute informally for at least thirty days. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws principles. You and Namirasoft agree to the exclusive jurisdiction of the courts located in British Columbia, Canada, for any dispute not resolved informally. Nothing in this section prevents you from bringing a claim in a small claims court or a consumer tribunal where applicable law gives you that right.

19. Force Majeure

Namirasoft is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, outages, network or infrastructure failures, acts of government, or labor disruptions.

20. Assignment

You may not assign or transfer these Terms without our prior written consent. Namirasoft may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors.

21. Entire Agreement

These Terms, together with the Namirasoft Account Terms of Service and any documents they reference, form the entire agreement between you and Namirasoft regarding the Service, and supersede any prior agreements on that subject.

22. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

23. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

24. Notices

We may provide notices to you through the Service, through Namirasoft Account, or by email to the address associated with your account. You may send notices to us at accounts@namirasoft.com.

25. Survival

Sections relating to your master password and recovery, your vault and content, acceptable use, intellectual property, disclaimers, limitation of liability, consumer rights, indemnification, dispute resolution, and any other provisions that by their nature should survive, will survive termination of these Terms.

26. Changes to These Terms

Namirasoft may update these Terms at any time to reflect changes in the Service, legal requirements, or security practices. When material changes occur, Namirasoft may notify users through email and/or announcements through the Service or its website, where appropriate or as required by applicable law. Your continued use of Namirasoft Password after updates are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
