Terms of Service

These Terms of Service (“Terms”) govern your use of the Namirasoft NWS Volume application, website, and related services (collectively, the “Services”). The Services are owned and provided by Namira Software Corporation (“Namirasoft,” “we,” “us,” or “our”).

By using Namirasoft NWS Volume, accessing, or using the related Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, the Namirasoft NWS Volume Privacy Policy, and any additional terms referenced herein. If you do not agree to these Terms, you may not access or use the Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity. In such cases, “you” or “User” refers to that entity and its authorized users.

1. Eligibility & Account Registration

• Eligibility: You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. By creating a Namirasoft Account or accessing the Services, you represent and warrant that you meet these requirements.

• Account Registration: Access to Namirasoft NWS Volume requires a valid Namirasoft Account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. Account creation, authentication, and identity management are governed by the Namirasoft Account Terms of Service and Privacy Policy.

• Account Security: You are responsible for safeguarding your account credentials and for all activities conducted under your account. You agree to contact Support immediately if you become aware of any unauthorized access or use of your account.

• Account Suspension or Termination: Namirasoft reserves the right to suspend or terminate accounts that violate these Terms, provide false or misleading information, or engage in activities that compromise the integrity or security of the Services.

2. Subscription Requirement

A valid subscription is required in all cases to access or use Namirasoft NWS Volume. You may not create, configure, or operate any volume without an active subscription.

The term “Subscription” refers to your enrollment in Namirasoft NWS Volume through the designated subscription workflow, including plan selection, acceptance of applicable terms, and submission of a valid payment method. The “Subscription Date” is the date on which your subscription becomes active. All billing, invoicing, subscription management, and payment history are handled through Namirasoft Payment, which is governed by its Terms of Service and Privacy Policy.

3. Pricing and Fees

Namirasoft NWS Volume supports both fixed-price and usage-based pricing models, depending on the type of volume or service you configure.

Fixed-price volumes are billed based on predefined capacity or service parameters. Usage-based volumes and services are billed according to actual consumption measured during the applicable billing period.

By subscribing, you authorize Namirasoft to charge your payment method for all fees associated with your subscription and usage of the Services. All billing, invoicing, subscription management, and payment history are handled through Namirasoft Payment. Namirasoft NWS Volume does not store or process payment information directly.

Payments are processed through third-party payment providers. You are responsible for maintaining a valid payment method. Namirasoft may suspend or terminate access to the Services if payment cannot be successfully processed.

Fees are calculated at the end of each billing period. If your subscription is terminated, you remain responsible for all fees accrued up to the effective termination date.

4. Service Access and Use Rights

• Access to the Service
  Upon maintaining an active subscription, Namirasoft grants you a limited, non-exclusive, non-transferable, and revocable right to access and use Namirasoft NWS Volume solely for your internal business or personal storage management purposes, subject to these Terms.

• Volume Configuration and Management
  Namirasoft NWS Volume allows you to create and manage storage volumes backed by Namirasoft infrastructure or external storage providers. Volume behavior, availability, and cost depend on the selected volume type and configuration.

• External Storage Providers
  Certain volume types require access to third-party storage services, including but not limited to cloud storage providers, file services, and network-based storage systems. Access to these services is established using credentials you provide through Namirasoft Credential, which secures sensitive data using Namirasoft Secret.

By configuring such volumes, you grant Namirasoft permission to access the relevant external systems solely for the purpose of providing the Services. Namirasoft does not own or control these third-party services and is not responsible for their availability, performance, or data handling practices.

• User Responsibility

You are responsible for selecting appropriate volume types, configuring access credentials correctly, and understanding the pricing and operational implications of each volume. Misconfiguration or improper use does not relieve you of your obligations under these Terms.

5. Acceptable Use and Restrictions

You agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of the Services

• Bypass or interfere with security mechanisms or access controls

• Use the Services for unlawful, abusive, or harmful purposes

• Share account credentials or permit unauthorized access

• Use automated tools to disrupt or overload the Services

You agree to comply with all applicable laws and regulations in connection with your use of the Services.

6. Other Namirasoft Products and Third-Party Services

Namirasoft NWS Volume may rely on or integrate with other Namirasoft products, including Namirasoft Account, Namirasoft Credential, Namirasoft Secret, and Namirasoft Payment.

Each Namirasoft product and third-party service operates under its own terms of service and privacy policies. Namirasoft is not responsible for failures, delays, or errors caused by third-party services or events outside its reasonable control.

By using the Services, you acknowledge and agree to comply with the applicable terms and privacy policies of all integrated Namirasoft products and third-party services.

6. Termination

• By You: You can cancel your subscription through Namirasoft Payment or delete your account any time through the Namirasoft Account.

• By Us: Namirasoft may suspend or terminate your access to the Services if you violate these Terms, fail to maintain a valid subscription, or are required to do so by law.

• Effect of Termination: Upon termination, your access to Namirasoft NWS Volume will end. Data handling following termination is governed by the applicable Privacy Policy and retention practices.

8. Intellectual Property

The Services, including software, design, documentation, and related content, are owned by Namirasoft or its licensors and are protected by intellectual property laws. These Terms grant you a limited right to use the Services but do not transfer ownership.

9. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Namirasoft disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

You acknowledge that storage services inherently involve risks, including data loss, service interruption, and third-party dependency. You are responsible for maintaining appropriate backups and safeguards.

10. Limitation of Liability

To the maximum extent permitted by law, Namirasoft shall not be liable for indirect, incidental, special, consequential, or punitive damages. Namirasoft’s total liability shall not exceed the amount paid by you for the Services during the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Namirasoft and its affiliates from any claims, damages, liabilities, or expenses arising from your use of the Services, your violation of these Terms, or your infringement of third-party rights.

12. Changes to These Terms

We may modify these Terms at any time. If we do, we will notify you by posting a notice on our website or sending you an email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of British Columbia, Canada. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of British Columbia, except where consumer protection laws require otherwise.

14. General Terms

• Assignment: You may not assign your rights without our consent.

• Severability: If any part of these Terms is invalid, the remaining parts remain effective.

• Entire Agreement: These Terms, together with Namirasoft NWS Volume Privacy Policy and related Namirasoft service terms (Account, Credential, Secret, Payment), form the complete agreement between you and Namirasoft regarding Bill Watch.
