Terms of Service

1. Definitions

For purposes of these Terms:

• “Service” refers to Namirasoft Inference, including its functionality, features, technologies, websites, applications, APIs, integrations, and documentation.
• “Supported Namirasoft Applications” refers to Namirasoft Services that use the Models you select and the model providers you connect through the Service, including Namirasoft Expert.
• “Model Provider” refers to an organization that develops or operates large language models made available through the Service, including third-party providers such as Anthropic, OpenAI, and DeepSeek, as well as Namirasoft in its capacity as the provider of Namirasoft Squirrel.
• “Model” refers to a large language model that you can select through the Service.
• “Namirasoft Squirrel” refers to the large language model developed and operated by Namirasoft and made available exclusively through the Service.
• “Provider Credentials” refers to the API keys or access credentials you connect to the Service in order to make a Model Provider’s models available under your own account, an arrangement also described as bring your own key.
• “Namirasoft Tokens” refers to the option to use Models provided through Namirasoft without maintaining a separate account with a Model Provider.
• “Model Configuration” refers to the selections and settings you establish through the Service, including the Models you select, your default Model, and how Models are made available to Supported Namirasoft Applications.

2. Namirasoft Account Terms of Service

Namirasoft Inference operates in conjunction with Namirasoft Account and adheres to the terms set forth in the Namirasoft Account Terms of Service. By using the Service, you agree to comply with the Namirasoft Account Terms of Service, which cover authentication, security, and account management. Please review them to understand your rights and obligations.

3. Account Registration

You must hold a valid Namirasoft Account to access and use Namirasoft Inference. You may create or sign in to your account through Namirasoft Account, which serves as your identity across Namirasoft Services.

By registering, you agree to comply with the Namirasoft Account Terms of Service and its Privacy Policy. Age eligibility requirements are established and enforced by Namirasoft Account, and by using the Service you confirm that you satisfy those requirements.

4. Description of the Service

Namirasoft Inference allows you to select Models and connect model providers, and to configure how your selected Models are made available to Supported Namirasoft Applications. The Supported Namirasoft Applications you use, such as Namirasoft Expert, use the Models according to your configuration. Namirasoft Inference itself does not process the content you submit to Models; that processing is performed by the Supported Namirasoft Applications and the applicable Model Providers.

The Service offers two methods of making Models available. You may use Models provided through Namirasoft using Namirasoft Tokens, or you may connect your own Provider Credentials and make a Model Provider’s models available under your own account. Namirasoft Squirrel is provided by Namirasoft and is available exclusively through Namirasoft.

5. Model Access and Provider Credentials

When you connect Provider Credentials, you represent that you are authorized to use those credentials and that your use of the corresponding Model Provider complies with that provider’s terms. You are responsible for any usage, fees, and obligations arising under your own account with a Model Provider when you bring your own key.

Your use of any Model is also subject to the terms, acceptable use policies, and usage restrictions of the applicable Model Provider. You are responsible for reviewing and complying with those terms. Namirasoft may add, remove, or change the Models available through the Service, including where a Model Provider changes or discontinues a Model.

6. Fees and Payment

Use of certain Models and access methods is subject to fees. Pricing applicable to the Service is described on the Namirasoft Inference Pricing page. By selecting a paid Model or access method, you agree to the fees applicable to that usage as described on that page.

Namirasoft Inference is not a payment service and does not process payments or store payment card information. Payments for model usage are handled by Namirasoft Payment under its own terms and privacy policy, which govern billing, payment methods, and related matters.

You are responsible for amounts incurred in connection with your use of the Models you select, including amounts incurred by Supported Namirasoft Applications you authorize to use those Models. You are responsible for any taxes associated with your use, except for taxes based on Namirasoft’s net income. Except as required by applicable law, fees are non-refundable.

7. Acceptable Use

You agree to use the Service in compliance with these Terms, the terms of any Model Provider you connect, and all applicable laws. You agree not to:

• Misuse the Service Attempt to gain unauthorized access to the Service, interfere with its operation, circumvent usage limits, or compromise its security or integrity.
• Connect Unauthorized Credentials Connect Provider Credentials you are not authorized to use, or use the Service to access a Model Provider in violation of that provider’s terms.
• Violate Provider Policies Configure or use any Model in a manner that violates the acceptable use policy, usage restrictions, or terms of the applicable Model Provider.
• Resell Without Authorization Resell, sublicense, or commercially redistribute access to the Service except as expressly permitted by Namirasoft.
• Engage in Unlawful Use Use the Service to facilitate activity that is unlawful, infringing, or that violates the rights of others.

8. Content Processed Through Supported Applications

The content submitted to a Model, and the content a Model returns, are processed by the Supported Namirasoft Applications that use the Model and by the applicable Model Provider, not by Namirasoft Inference. The terms and privacy policies of those Supported Namirasoft Applications and Model Providers govern that content.

You are responsible for the configurations you establish through the Service and for ensuring that the Models you make available are appropriate for your intended use within the Supported Namirasoft Applications. Information practices applicable to the information Namirasoft Inference itself processes are described in the Namirasoft Inference Privacy Policy.

9. Third-Party Models and Providers

Models made available through the Service may be developed and operated by third-party Model Providers. When a Supported Namirasoft Application uses a third-party Model you have made available, the content is transmitted to that provider by the application, and the provider processes it under its own terms and privacy policy. Namirasoft does not control, and is not responsible for, the availability, performance, content policies, or practices of third-party Model Providers.

When you connect your own Provider Credentials, your use of the corresponding Model Provider is a relationship governed by that provider’s terms in addition to these Terms. Namirasoft is not a party to, and assumes no responsibility under, any agreement between you and a third-party Model Provider.

10. Disclaimer

Models made available through the Service may produce results that are inaccurate, incomplete, or otherwise unsuitable for a particular purpose, and such results do not constitute professional, legal, financial, medical, or other advice. You are responsible for reviewing and verifying any results before relying on them, and for any decisions made based on them.

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, except as required under applicable consumer protection laws. Namirasoft does not warrant that the Service or any Model will be uninterrupted, error-free, or secure, or that any Model will meet your requirements. Nothing in this Disclaimer limits your rights under applicable consumer protection laws.

11. Limitation of Liability

To the fullest extent permitted by law, Namirasoft shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to the Service or the use of any Model, even if advised of the possibility of such damages.

To the fullest extent permitted by law, Namirasoft’s total liability arising out of or relating to the Service is limited to the amount you paid to Namirasoft for the Service during the period giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Namirasoft and its affiliates from any claims, liabilities, damages, or expenses resulting from your use of the Service, the configurations you establish, your breach of these Terms, your violation of any Model Provider’s terms, or your violation of any third-party rights.

13. Termination

We may suspend or terminate your access to Namirasoft Inference if you violate these Terms, misuse the Service, or fail to meet obligations associated with your use of the Service, or where necessary to protect the Service, its users, or Namirasoft. Upon termination, your right to use the Service ends, and your Model Configuration and connected Provider Credentials may be removed. Provisions that by their nature should survive termination, including those relating to amounts owed, disclaimers, limitation of liability, and indemnification, will survive.

14. Changes to These Terms and the Service

Namirasoft may update these Terms or modify the Service to enhance functionality, strengthen security, reflect changes in available Models, or comply with applicable laws. When changes occur, users will be notified through email and/or announcements on the website, where appropriate or as required by applicable law. Your continued use of the Service after updates take effect constitutes acceptance of the updated Terms. If you do not agree with the updates, you must discontinue use of the Service.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of British Columbia, Canada, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of British Columbia, except where applicable law provides otherwise.
