Terms of Service

1. Definitions

• Namirasoft: Namira Software Corporation.
• Service: Namirasoft ERP.
• Namirasoft Services (the ecosystem): the broader family of Namirasoft products that operate with your Namirasoft Account.
• Account: your Namirasoft Account, which authenticates you across Namirasoft Services.
• Company and Branch: the structure you create in Namirasoft ERP to organize your records.
• Record: the business information you enter, such as your chart of accounts, journal entries, parties, fiscal years, currencies, and fleet records.
• Report: a summary the Service calculates from your Records.

2. Account Registration

To use Namirasoft ERP you must have an active Namirasoft Account. Your Namirasoft Account authenticates you and associates your Records with your account. Registration and identity are governed by the Namirasoft Account Terms of Service and the Namirasoft Account Privacy Policy.

3. Age Requirement

The Service is not intended for individuals under 18 years of age. By using the Service, you represent that you are at least 18 years old. Eligibility and accounts are managed by Namirasoft Account; if Namirasoft Account determines that an account belongs to a person under 18, the account and its information are handled under the Namirasoft Account Terms of Service.

4. Account Security

You are responsible for keeping your Namirasoft Account credentials and tokens confidential and for all activity that occurs under your account, including the Records you enter. Any use of the Service through your account is considered authorized by you. Report any unauthorized access or suspected misuse promptly through support.namirasoft.com.

5. Description of the Service

• Keep your records: Namirasoft ERP lets you keep the accounting and operational records of your business, organized by company and branch, including your chart of accounts, journal entries, parties, fiscal years, currencies, and fleet.
• Reports: The Service calculates reports and balances from the Records you enter.
• You control your Records: You enter and manage your Records, subject to controls that keep your accounting consistent, such as finalized entries and locked periods.

Namirasoft may provide the Service under a plan with free amounts and paid amounts, or as part of your Namirasoft Services. Any fees, subscriptions, renewals, and billing are handled by Namirasoft Payment under its own terms.

6. No Professional Advice

Namirasoft ERP is a tool for keeping your own records. The Records, ledgers, balances, reports, and other outputs it produces are operational records of what you have entered. They are not certified financial statements, audited accounts, tax filings or returns, or accounting, financial, tax, or legal advice, and they are not prepared to any particular accounting or reporting standard. You are responsible for the accuracy of your Records, for keeping the books and records you are required to keep, for meeting your accounting, tax, and filing obligations, and for retaining copies as the law requires. Where you need an authoritative statement, a filing, or professional advice, you should rely on a qualified professional, not on the Service.

7. Your Records and Responsibilities

You are responsible for the Records you enter, for their accuracy and completeness, and for having the right to record the information they contain, including any Personal Information about your customers, employees, or other individuals. You retain your rights in your Records, and you grant Namirasoft the right to store, process, and produce reports from them as needed to provide the Service. Where a person whose information appears in your Records asks to exercise a right over it, you are responsible as the party that recorded it, and you are responsible for having a lawful basis to record and use that information.

Data and Privacy. The collection, use, storage, retention, and protection of the information handled by this Service are governed by the Namirasoft ERP Privacy Policy and, for identity and authentication, the Namirasoft Account Privacy Policy.

8. Acceptable Use

When using the Service, you agree to: use it only for its intended purpose and in compliance with applicable laws; keep only Records you are entitled to keep; not use the Service to record information about others without a lawful basis; not attempt to access Records or accounts that are not yours; not interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure; not reverse engineer, decompile, scrape, or use automated means to extract data from the Service, or attempt to discover its source code or underlying structure, except to the extent this restriction is prohibited by law; not conduct security testing without our prior written permission; and report unauthorized access or suspicious activity promptly.

9. Intellectual Property

The Service, including its software, design, text, and trademarks, is owned by Namirasoft and protected by applicable laws. You retain any rights you may have in the Records you enter, and Namirasoft does not claim ownership of your underlying business records or data. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted. If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free, perpetual license to use them to improve our products, without obligation to you.

10. Third-Party Services

Namirasoft ERP operates within the Namirasoft ecosystem and interoperates with other Namirasoft products, each governed by its own terms. If you separately access a service outside the Namirasoft ecosystem, that service is governed by its own terms, and Namirasoft is not responsible for its practices.

11. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Namirasoft works to keep the Service reliable and available, and to the extent permitted by law it is provided without a warranty that it will be uninterrupted or error free, or that the reports it produces will meet your accounting, tax, or reporting requirements, which depend on the Records you enter and your obligations. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of Liability

To the maximum extent permitted by law, Namirasoft and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising from or related to your use of or inability to use the Service, including any reliance you placed on a report or any accounting, tax, or filing consequence, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the total amount you paid us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of these limitations may not apply to you, and in those cases our liability is limited to the smallest amount permitted by law.

13. Consumer Rights

Nothing in these Terms limits, excludes, or modifies any right or remedy you may have under applicable consumer protection law that cannot legally be limited, excluded, or modified. Where such law applies, the disclaimers and limitations above apply only to the extent permitted by that law.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Namirasoft and its personnel from any claims, damages, liabilities, and reasonable expenses arising out of your use of the Service, the Records you enter and the information about others they contain, your violation of these Terms, or your violation of applicable law or the rights of a third party. This section does not apply to the extent a claim results from Namirasoft’s own conduct.

15. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms or use the Service in a way that risks harm to others or to the ecosystem. We may also suspend access temporarily, with or without notice, to protect the security and integrity of the Service, its users, or the ecosystem, including where your account appears compromised or shows suspicious activity. Where reasonable and lawful, we will provide notice. You may stop using the Service at any time, and you are responsible for retaining copies of any Records you are required to keep before you do. Provisions that by their nature should survive termination will continue to apply.

16. Modifications to the Service

We may change, improve, or discontinue features of the Service over time. Where a change materially reduces core functionality, we will make reasonable efforts to provide notice through Namirasoft Services.

17. Export and Sanctions Compliance

You represent that you are not located in, and will not use the Service from, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable Canadian or United States trade and sanctions laws. You agree to comply with all applicable export control and sanctions laws in your use of the Service.

18. Dispute Resolution and Governing Law

Before starting any formal proceeding, you agree to first contact us at accounts@namirasoft.com and attempt in good faith to resolve the dispute informally for at least thirty days. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws principles. You and Namirasoft agree to the exclusive jurisdiction of the courts located in British Columbia, Canada, for any dispute not resolved informally. Nothing in this section prevents you from bringing a claim in a small claims court or a consumer tribunal where applicable law gives you that right.

19. Force Majeure

Namirasoft is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, outages, network or infrastructure failures, acts of government, or labor disruptions.

20. Assignment

You may not assign or transfer these Terms without our prior written consent. Namirasoft may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors.

21. Entire Agreement

These Terms, together with the Namirasoft Account Terms of Service and any documents they reference, form the entire agreement between you and Namirasoft regarding the Service, and supersede any prior agreements on that subject.

22. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

23. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

24. Notices

We may provide notices to you through the Service, through Namirasoft Account, or by email to the address associated with your account. You may send notices to us at accounts@namirasoft.com.

25. Survival

Sections relating to no professional advice, your Records and responsibilities, intellectual property, disclaimers, limitation of liability, consumer rights, indemnification, dispute resolution, and any other provisions that by their nature should survive, will survive termination of these Terms.

26. Changes to These Terms

Namirasoft may update these Terms at any time to reflect changes in the Service, legal requirements, or security practices. When material changes occur, Namirasoft may notify users through email and/or announcements through the Service or its website, where appropriate or as required by applicable law. Your continued use of Namirasoft ERP after updates are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
