Terms of Service

These Terms of Service (“Terms”) govern your use of the Namirasoft Bill Watch website, applications, products, and related services (collectively, the “Services”). The Services are provided by Namira Software Corporation (“Namirasoft,” “we,” “us,” or “our”).

By creating a Namirasoft Account, accessing, or using the Services in any way, you acknowledge that you have read, understood, and agreed to be bound by these Namirasoft Bill Watch Terms of Service and the Namirasoft Bill Watch Privacy Policy, along with any supplemental terms referenced herein. If you do not agree, you may not access or use the Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity. In such cases, “you” or “User” refers to the entity, and its affiliates, employees, and authorized users.

1. Eligibility & Account Registration

• Eligibility: You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. By creating a Namirasoft Account or accessing the Services, you represent and warrant that you meet these requirements.

• Account Registration: To use Namirasoft Bill Watch, you must register for a Namirasoft Account. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update your account information to keep it accurate. Registration, authentication, and related data are governed by the Namirasoft Account Terms of Service and Privacy Policy.

• Account Security: You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to contact Support immediately of any unauthorized use of your account.

• Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or for any other reason consistent with applicable law.

2. Subscription and Subscription Date

The term “Subscription” means your enrollment in Namirasoft Bill Watch completed through the subscription workflow and accepted by Namirasoft. This includes providing your payment method, selecting your plan, and agreeing to the relevant service terms. “Subscription Date” refers to the date you complete this enrollment process and your Subscription is activated.

3. Pricing and Fees

Namirasoft Bill Watch operates on a pay-as-you-go pricing model, calculated based on your actual usage of the Service in accordance with the pricing published on the Pricing Page as of your Subscription Date.

By subscribing, you authorize Namirasoft to charge your payment method for all applicable fees associated with your use of the Service. All subscription management, invoices, offers, and billing history for Namirasoft Bill Watch and other paid Namirasoft products are handled entirely through Namirasoft Payment, a Namirasoft product. Namirasoft Bill Watch itself does not store or process your payment information directly.

Payments are processed through third-party payment providers (currently Stripe) in accordance with their privacy policies and terms. You are responsible for keeping your payment method valid. Namirasoft may suspend or terminate your access if payments cannot be successfully processed.

Charges for the Service are calculated at the end of each billing period based on your usage. If your Subscription is terminated early by you or by Namirasoft for cause, you will only be responsible for fees accrued through the effective date of termination.

All users, including those electing to use any free trial or promotional period, must provide a valid payment method during subscription. This is required to prevent fraudulent use and to ensure uninterrupted access to the Service.

4. Service Access and Use Rights

• Access to the Service
  Upon subscribing, you are granted a limited, non-exclusive, non-transferable right to access and use Namirasoft Bill Watch solely for your internal business or personal financial monitoring. Your access is contingent upon compliance with these Terms and any supplemental terms referenced herein.

• Use of Billing Data
  To provide the Service, Namirasoft Bill Watch requires access to your cloud billing platforms via Namirasoft Credential, which secures your credentials using Namirasoft Secret encryption. By using the Service, you grant permission for Namirasoft Bill Watch to access and process this data for the purpose of monitoring and reporting cloud costs.

• Alerts and Notifications
  Namirasoft Bill Watch delivers alerts according to your selected preferences using Namirasoft SMS Sender, Email Sender, Telegram Sender, Slack Sender, and Teams Sender services. Alerts are generated daily and are sent to the relevant Topic entity in Namirasoft Notification Sender.

From there, they are distributed to all Subscribers associated with that Topic, and delivered through all channels configured for each Subscriber. While we strive for reliable delivery, external factors such as carriers, internet connectivity, or third-party service interruptions may affect message delivery. Namirasoft is not liable for any delays, failures, or omissions in the delivery of alerts.

Please note that Namirasoft Notification Sender and all associated services, as well as any third-party services used to deliver notifications, operate under their own privacy policies and terms, which govern your use of those services.

• Restrictions and Limitations

You agree not to:

 

• Reverse-engineer, decompile, or attempt to extract the source code of the Service.

 

• Circumvent any security measures or access controls.

 

• Use unauthorized automated tools to interfere with or disrupt the Service.

 

• Share your account credentials or otherwise allow unauthorized access.

 

• Use the Service in violation of applicable laws or regulations.

• Compliance
  You are responsible for how you configure and interpret the Service outputs, including creating watches, rules, and monitoring parameters. Misuse or misconfiguration of the Service does not relieve you of your obligations under these Terms.

5. Other Namirasoft Products and Third-Party Services

Namirasoft Bill Watch may integrate with or rely on other Namirasoft products (such as Namirasoft Payment, Namirasoft Notification Sender, Namirasoft Credential, and Namirasoft Secret) and third-party services (such as Stripe and your cloud providers).

Each Namirasoft product and third-party service operates under its own terms of service and privacy policies, which govern your use of that product or service. Namirasoft is not responsible for the performance, availability, or actions of any third-party service, including any delays, failures, or errors in processing payments, delivering alerts, or accessing external systems.

Namirasoft shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including but not limited to natural disasters, acts of government, internet or cloud provider outages, power failures, or other unforeseen events. In such cases, Namirasoft may suspend or delay the Service without liability and will restore the Service as soon as reasonably possible.

By using the Services, you acknowledge and agree to comply with the applicable terms and privacy policies of all integrated Namirasoft products and third-party services.

6. Termination

• By You:
  You can cancel your subscription through Namirasoft Payment or delete your account any time through the Namirasoft Account.

• By Us:
  We may suspend or terminate your access if you violate these Terms, abuse the Service, or as required by law.

• Effect of Termination:
  Your access to Namirasoft Bill Watch will end, and your data will be handled according to our Privacy Policy.

7. Intellectual Property

Namirasoft Bill Watch, including its software, design, content, and functionality, is owned by Namirasoft or its licensors. You are granted a limited, non-transferable license to use the Service. No ownership rights are transferred to you.

8. Disclaimers

Unless otherwise expressly stated by Namirasoft, the Services, material, and any content, services, or features made available in conjunction with or through the Services are provided “as is” and “as available”.

To the fullest extent permitted by law, Namirasoft disclaims all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Users are responsible for how they configure and interpret the service outputs. This includes managing access credentials, creating watches, creating rules and monitoring parameters.

Nothing in this section limits your rights under consumer protection laws in British Columbia or other applicable jurisdictions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAMIRASOFT SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Namirasoft and its affiliates against any claims, damages, or expenses arising from your use of Namirasoft Bill Watch, your violation of these Terms, or your infringement of third-party rights.

11. Changes to These Terms

We may modify these Terms at any time. If we do, we will notify you by posting a notice on our website or sending you an email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of British Columbia.

13. General Terms

• Assignment: You may not assign your rights without our consent.

• Severability: If any part of these Terms is invalid, the remaining parts remain effective.

• Entire Agreement:
  These Terms, together with Namirasoft Bill Watch Privacy Policy and related Namirasoft service terms (Account, Credential, Secret, Payment, Sender services), form the complete agreement between you and Namirasoft regarding Bill Watch.
