Terms of Service

Namirasoft Payment (the Service) is owned and provided by Namira Software Corporation (Namirasoft, we, us, or our). These Terms of Service (the Terms) govern your access to and use of the Service. By accessing or using the Service, or by purchasing a Namirasoft product through it, you agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms and to incur charges for that organization.
Namirasoft Payment is part of the broader Namirasoft ecosystem and operates together with your Namirasoft Account. Use of the Service is also subject to the Namirasoft Account Terms of Service. These Terms apply specifically to Namirasoft Payment and to billing for Namirasoft products, and they do not replace the Namirasoft Account Terms of Service or the terms of the product you are paying for. If there is any conflict about billing, these Terms control. We may update these Terms over time; see Changes to These Terms.
1. Definitions
- Namirasoft: Namira Software Corporation.
- Service: Namirasoft Payment.
- Namirasoft Services (the ecosystem): the broader family of Namirasoft products that operate with your Namirasoft Account.
- Account: your Namirasoft Account, which authenticates you across Namirasoft Services.
- Plan: a paid offering for a Namirasoft product, which may be a one time purchase, a subscription, or billed by usage.
- Invoice: a record of the amounts owed or paid for a Plan, including taxes, discounts, and fees.
- Subscription: a Plan that renews automatically for successive periods until cancelled.
- Stripe: Stripe, Inc. and its affiliates, the independent payment provider that hosts the checkout and processes payments.
2. Account Registration
To use Namirasoft Payment you must have an active Namirasoft Account. Your Namirasoft Account authenticates you and associates your invoices, payments, and subscriptions with your account. Registration and identity are governed by the Namirasoft Account Terms of Service and the Namirasoft Account Privacy Policy.
3. Age Requirement
The Service is not intended for individuals under 18 years of age. By using the Service, you represent that you are at least 18 years old. Eligibility and accounts are managed by Namirasoft Account; if Namirasoft Account determines that an account belongs to a person under 18, the account and its information are handled under the Namirasoft Account Terms of Service.
4. Account Security
You are responsible for keeping your Namirasoft Account credentials and tokens confidential and for all activity that occurs under your account, including purchases and subscriptions. Any use of the Service through your account is considered authorized by you. Report any unauthorized access or suspected misuse promptly through support.namirasoft.com.
5. Description of the Service
- Billing for the ecosystem: The Service presents the Plans and prices offered by Namirasoft products, creates your invoices, records your payments and subscriptions, and gives you access to your billing history.
- Payment handled by Stripe: When you choose to pay, the Service hands you to Stripe to complete the payment on Stripe’s own checkout. Namirasoft does not take your card details and does not hold or move the funds.
- What you are buying: The product, features, or usage a Plan provides are defined and delivered by the Namirasoft product it belongs to, under that product’s own terms. The Service handles the billing, not the product itself.
6. Fees and Charges
The price of a Plan, the currency, and how it is billed are shown to you before you purchase. By completing a purchase, you authorize Namirasoft, through Stripe, to charge the payment method you provide for the amount shown, together with any applicable taxes. You are responsible for paying all amounts due for the Plans you buy. Unless stated otherwise, prices are exclusive of taxes, and amounts are due at the time of purchase or, for a Subscription, at the start of each billing period.
7. Subscriptions and Automatic Renewal
If you buy a Subscription, it renews automatically at the end of each billing period for another period of the same length, and the payment method on file is charged for each renewal, until you cancel or the Subscription otherwise ends. The length of the billing period and the renewal price are shown to you before you subscribe. You can cancel a Subscription at any time through the Service; the cancellation takes effect at the end of the current billing period, and unless applicable law or a specific offer states otherwise, amounts already paid for the current period are not refunded and you keep access until the period ends. If a renewal payment fails, we may retry it, and the Subscription may be paused, suspended, or cancelled as described in these Terms and by the product it belongs to.
8. Free Trials and Free Grants
A Plan may include a free trial or a free grant of access. Unless stated otherwise, if you do not cancel before a free trial ends, the Plan converts to a paid Subscription and the payment method on file is charged at the then-current price. The length of a trial and what happens when it ends are shown to you before you start it. We may limit trials to one per person or product and may withdraw a trial offer at any time.
9. Taxes
Prices may be subject to sales tax, value added tax, goods and services tax, or other taxes and duties, which are added where they apply and shown on your invoice. You are responsible for any such taxes other than taxes on Namirasoft’s income. Nothing in the Service or on an invoice is tax advice; you are responsible for your own tax position, and where you believe a tax exemption applies, it is your responsibility to provide the information needed to support it.
10. Payment Processing by Stripe
Payments are processed by Stripe, an independent payment provider, and your payment is also governed by Stripe’s terms and by the terms of the payment method you use. You are responsible for ensuring you are authorized to use the payment method you provide and for keeping it valid. Namirasoft does not receive or store your card details; they are entered on Stripe’s checkout and handled by Stripe. Namirasoft is not responsible for the independent practices of Stripe or of your payment method provider.
11. Refunds and Cancellations
Except where required by applicable law, where a specific offer says otherwise, or where we choose to grant one, payments are non-refundable, and cancelling a Subscription stops future renewals rather than refunding the current period. If you believe you were charged in error, were charged without authorization, or are entitled to a refund under applicable law, contact us through Namirasoft Support and we will review your request with reference to the invoice and payment records and respond in accordance with applicable law. Where we grant a refund, it is returned through Stripe to the original payment method. Nothing in this section limits any refund, cancellation, or cooling-off right you have under applicable consumer protection law.
12. Chargebacks and Disputed Payments
If you believe there is a problem with a charge, please contact us first so we can resolve it. If a chargeback or payment dispute is raised with your bank or card provider, we may provide the invoice and payment records to Stripe and to the provider to respond to it, and we may suspend the affected Plan or your access to paid products while the dispute is open. Raising a chargeback for a charge that was in fact authorized and due does not relieve you of the obligation to pay it.
13. Price and Plan Changes
We and the Namirasoft products may change prices, Plans, and their features over time. A change to the price of a Subscription applies from a future renewal, not the current period, and where a change materially affects a Subscription you hold, we will make reasonable efforts to give you notice before it takes effect so that you can cancel if you do not agree. Continuing the Subscription after a price change takes effect is your acceptance of the new price.
14. Data and Privacy
The collection, use, storage, retention, and protection of the information handled by the Service, including your invoices, payments, and subscriptions, are governed by the Namirasoft Payment Privacy Policy, by Stripe’s own privacy policy for anything you enter on its checkout, and, for identity and authentication, by the Namirasoft Account Privacy Policy. Because the Service is the billing provider for the ecosystem, that Privacy Policy is the one other Namirasoft products point to for payments and subscriptions.
15. No Tax or Financial Advice
The invoices, records, and totals produced by the Service are billing records for the Namirasoft products you buy. They are not tax, accounting, financial, or legal advice, and they are not certified financial statements. You are responsible for keeping your own records and for meeting any obligation you have to retain them, and you should consult your own advisor about how a purchase or a tax affects you.
16. Intellectual Property
The Service, including its software, design, text, and trademarks, is owned by Namirasoft and protected by applicable laws. You retain any rights you may have in the information contained within your billing records, and Namirasoft does not claim ownership of your underlying business records or data. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted. If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free, perpetual license to use them to improve our products, without obligation to you.
17. Third-Party Services
The Service depends on Stripe as an independent payment provider, and your use of the checkout is governed by Stripe’s own terms and privacy policy. Namirasoft is not responsible for the independent practices of Stripe or of the provider of the payment method you choose. If you separately access a service outside the Namirasoft ecosystem, that service is governed by its own terms.
18. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Namirasoft works to keep the Service reliable and available, and to the extent permitted by law it is provided without a warranty that it will be uninterrupted or error free, or the availability or performance of Stripe or of any payment method. The features and performance of the product a Plan provides are the responsibility of the Namirasoft product it belongs to, under that product’s own terms. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
19. Limitation of Liability
To the maximum extent permitted by law, Namirasoft and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising from or related to your use of or inability to use the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the total amount you paid us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of these limitations may not apply to you, and in those cases our liability is limited to the smallest amount permitted by law.
20. Consumer Rights
Nothing in these Terms limits, excludes, or modifies any right or remedy you may have under applicable consumer protection law that cannot legally be limited, excluded, or modified, including any right to a refund, cancellation, or cooling-off period. Where such law applies, the disclaimers and limitations above apply only to the extent permitted by that law.
21. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Namirasoft and its personnel from any claims, damages, liabilities, and reasonable expenses arising out of your use of the Service, your failure to pay amounts due, your violation of these Terms, or your violation of applicable law or the rights of a third party. This section does not apply to the extent a claim results from Namirasoft’s own conduct.
22. Suspension and Termination
We may suspend or terminate your access to the Service or to a paid Plan if you fail to pay amounts due, if a payment is reversed or disputed, if you violate these Terms, or to protect the security and integrity of the Service, its users, or the ecosystem, including where your account appears compromised or a payment appears fraudulent. Where reasonable and lawful, we will provide notice. You may stop using the Service and cancel your Plans at any time. Provisions that by their nature should survive termination, including your obligation to pay amounts already due, will continue to apply.
23. Modifications to the Service
We may change, improve, or discontinue features of the Service over time. Where a change materially reduces core functionality, we will make reasonable efforts to provide notice through Namirasoft Services.
24. Export and Sanctions Compliance
You represent that you are not located in, and will not use the Service from, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable Canadian or United States trade and sanctions laws. You agree to comply with all applicable export control and sanctions laws in your use of the Service.
25. Dispute Resolution and Governing Law
Before starting any formal proceeding, you agree to first contact us at accounts@namirasoft.com and attempt in good faith to resolve the dispute informally for at least thirty days. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws principles. You and Namirasoft agree to the exclusive jurisdiction of the courts located in British Columbia, Canada, for any dispute not resolved informally. Nothing in this section prevents you from bringing a claim in a small claims court or a consumer tribunal where applicable law gives you that right.
26. Force Majeure
Namirasoft is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, outages, network or infrastructure failures, acts of government, or labor disruptions.
27. Assignment
You may not assign or transfer these Terms without our prior written consent. Namirasoft may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors.
28. Entire Agreement
These Terms, together with the Namirasoft Account Terms of Service and the terms of the Namirasoft products you pay for, form the entire agreement between you and Namirasoft regarding billing through the Service, and supersede any prior agreements on that subject.
29. No Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.
30. Severability
If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
31. Notices
We may provide notices to you through the Service, through Namirasoft Account, or by email to the address associated with your account. You may send notices to us at accounts@namirasoft.com.
32. Survival
Sections relating to fees and amounts due, taxes, refunds, chargebacks, intellectual property, disclaimers, limitation of liability, consumer rights, indemnification, dispute resolution, and any other provisions that by their nature should survive, will survive termination of these Terms.
33. Changes to These Terms
Namirasoft may update these Terms at any time to reflect changes in the Service, legal requirements, or security practices. When material changes occur, Namirasoft may notify users through email and/or announcements through the Service or its website, where appropriate or as required by applicable law. Your continued use of Namirasoft Payment after updates are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
