Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Namirasoft Expert and any related services (collectively, the “Services”) provided by Namira Soft Corporation and its affiliates (collectively, “Namirasoft,” “we,” “us,” or “our”).

By accessing or using any of our Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not use the Services.

1. Eligibility and Account Registration

You must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or your organization to use Namirasoft Expert.

Namirasoft Expert uses Namirasoft Account for registration, authentication, and account management. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access or suspected breach.

2. Service Access and Use

Namirasoft Expert is a DevOps and SRE AI agent that connects to your Linux servers through Namirasoft Infra and executes exclusively read-only commands on your infrastructure. The Service retrieves live data from your servers and returns results through a conversational AI interface. No write operations, configuration changes, or modifications of any kind are performed on your servers.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Attempt to gain unauthorized access to any server, system, or network through the Service
• Use the Service to violate any applicable law, regulation, or third-party right
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to reverse engineer, decompile, or extract the source code of any part of the Services
• Resell, sublicense, or otherwise transfer access to the Services without written authorization from Namirasoft

3. Infrastructure Access and App Installation

Namirasoft Expert connects to your Linux servers through Namirasoft Infra. You are responsible for ensuring that your infrastructure is properly configured and that you have the necessary rights and permissions to connect your servers to the Service.

Depending on your Linux server model and version, certain applications must be installed on your servers for Namirasoft Expert to operate correctly. These applications are installed directly on your own servers, solely to support the operation of Namirasoft Expert, and are entirely unrelated to Namirasoft’s own systems or infrastructure. Installation occurs only with your explicit authorization. By granting that authorization, you confirm that you have reviewed the applicable documentation and accept full responsibility for the installation on your server.

4. AI Usage and Cost Management

Namirasoft Expert integrates with third-party AI language model providers, including OpenAI (ChatGPT), DeepSeek, and Anthropic (Claude). You are responsible for providing a valid API key for your selected provider and for any costs incurred through that provider in connection with your use of the Service.

Namirasoft Expert provides per-agent cost controls that allow you to set spending limits on a per-run, per-chat, daily, weekly, or monthly basis. You are solely responsible for configuring and monitoring these limits. Namirasoft is not liable for any AI provider charges that exceed your configured limits due to misconfiguration or provider billing discrepancies.

Your use of any AI provider through the Service is subject to that provider’s own terms of service and privacy policy. Namirasoft does not control and is not responsible for the practices of third-party AI providers.

5. Payment and Billing

All payment processing for Namirasoft Expert, including subscription fees and billing management, is handled through Namirasoft Payment. Namirasoft Expert does not store or process payment information directly.

Subscription fees are billed in advance on the applicable billing cycle. Failure to pay may result in suspension or termination of your access to the Services. All fees are non-refundable except as expressly required by applicable law or as stated in our refund policy.

6. Intellectual Property

All rights, title, and interest in and to the Services, including all software, interfaces, documentation, and related materials, are and remain the exclusive property of Namirasoft and its licensors. These Terms do not grant you any rights to use Namirasoft trademarks, logos, or brand features.

You retain ownership of all data and content you provide through the Services, including your infrastructure data and agent configurations. By using the Services, you grant Namirasoft a limited, non-exclusive license to process your data solely to the extent necessary to provide the Services.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Namirasoft does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. AI-generated responses are provided for informational purposes only. You are solely responsible for validating any results returned by the Service before taking action on your infrastructure.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NAMIRASOFT AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

IN NO EVENT SHALL NAMIRASOFT’S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NAMIRASOFT IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Namirasoft and its affiliates, directors, officers, employees, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your access to or use of the Services; (b) your breach of these Terms; (c) your violation of any applicable law or third-party right; or (d) any data or content you submit through the Services, including your infrastructure data.

10. Termination

You may terminate your use of the Services at any time by cancelling your subscription and deleting your account through Namirasoft Account.

Namirasoft reserves the right to suspend or terminate your access to the Services at any time, with or without notice, if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, all licenses granted to you under these Terms will immediately cease.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

12. Changes to These Terms

We may modify these Terms at any time. If we do, we will update the version number and date at the top of this page and notify you by posting a notice on our website or by email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services.
