Terms of Service

1. Definitions

• Namirasoft: Namira Software Corporation.
• Service: Namirasoft Balance.
• Namirasoft Services (the ecosystem): the broader family of Namirasoft products that operate with your Namirasoft Account.
• Account: your Namirasoft Account, which authenticates you across Namirasoft Services.
• Asset: the kind of unit a balance is measured in, defined by a Namirasoft product, with a name, a type of count, money, or time, and a description.
• Transaction: a single entry recorded against an Asset for your account, consisting of an amount, a category, an optional description, and the product that recorded it.
• Summary: a monthly total calculated by the Service for an Asset, showing the opening balance, the totals added and deducted, and the closing balance.
• Source Product: the Namirasoft product that records a Transaction against your account.
• Content: the information contained within a Transaction, Summary, or Asset definition.

2. Account Registration

To use Namirasoft Balance you must have an active Namirasoft Account. Your Namirasoft Account authenticates you and enables the display of the balances and transactions recorded for your account. Registration and identity are governed by the Namirasoft Account Terms of Service and the Namirasoft Account Privacy Policy.

3. Age Requirement

The Service is not intended for individuals under 18 years of age. By using the Service, you represent that you are at least 18 years old. Eligibility and accounts are managed by Namirasoft Account; if Namirasoft Account determines that an account belongs to a person under 18, the account and its information are handled under the Namirasoft Account Terms of Service.

4. Account Security

You are responsible for keeping your Namirasoft Account credentials and tokens confidential and for all activity that occurs under your account. Any use of the Service through your account is considered authorized by you. Report any unauthorized access or suspected misuse promptly through support.namirasoft.com.

5. Description of the Service

• Purpose: Namirasoft Balance keeps a ledger of the balances held against your account and the transactions that move them, and presents the resulting statements, summaries, and transaction history.
• Unit types: A balance is measured in counts, money, or time, depending on the Asset it belongs to. Money is one of three unit types and the Service treats it the same way as the others.
• Recorded by products: Transactions and Asset definitions are created by the Namirasoft products you use. A Source Product may also remove a transaction it recorded, and the affected summaries are recalculated.
• Read-only scope: The Service is for viewing balances and records only. You cannot create, edit, or delete transactions, summaries, or Assets through the Service.
• Not payment processing: The Service does not charge you, hold funds, or process payments. Payments and subscriptions are handled by Namirasoft Payment, usage limits by Namirasoft Quota, and cost reporting by Namirasoft Cost.

Namirasoft may provide the Service free of charge or as part of your Namirasoft Services. Any fees, subscriptions, and billing across Namirasoft Services are handled by Namirasoft Payment under its own terms.

6. Acceptable Use

When using the Service, you agree to: use it only for its intended purpose and in compliance with applicable laws; not attempt to access balances, records, or accounts that are not yours; not interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure; not reverse engineer, decompile, scrape, or use automated means to extract data from the Service, or attempt to discover its source code or underlying structure, except to the extent this restriction is prohibited by law; not conduct security testing without our prior written permission; and report unauthorized access or suspicious activity promptly.

7. Source of Records

Transactions shown in the Service are recorded by other Namirasoft products, each governed by its own terms and privacy policy. The product that recorded a transaction is responsible for that entry and for its amount, category, and description. Namirasoft Balance records entries as reported, calculates balances and summaries from them, and does not alter the underlying entries.

Data and Privacy. The Service processes and displays records created by other Namirasoft products, which may include information originating from those products. The collection, use, storage, retention, and protection of that information are governed by the Namirasoft Balance Privacy Policy and, for identity and authentication, the Namirasoft Account Privacy Policy.

8. Intellectual Property

The Service, including its software, design, text, and trademarks, is owned by Namirasoft and protected by applicable laws. You retain any rights you may have in the information contained within records generated from your account or your data, and Namirasoft does not claim ownership of your underlying business records or data. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted. If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free, perpetual license to use them to improve our products, without obligation to you.

9. Third-Party Services

Namirasoft Balance operates within the Namirasoft ecosystem and interoperates only with other Namirasoft products, each governed by its own terms. If you separately access a service outside the Namirasoft ecosystem, that service is governed by its own terms, and Namirasoft is not responsible for its practices.

10. Disclaimer of Warranties

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Namirasoft does not warrant that the Service will be uninterrupted, error free, or that transactions recorded by other products will be accurate, complete, or timely. Balances, statements, and summaries are provided for informational and operational purposes only and should not be relied upon as the sole basis for business, financial, or operational decisions. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

11. No Professional Advice

The balances, statements, ledgers, and summaries produced by the Service are operational records of entries made by other Namirasoft products. They are not certified financial statements, audited accounts, invoices, tax records, or financial, accounting, or legal advice, and they are not prepared to any accounting standard. You are responsible for keeping your own books and records and for retaining any copies that applicable law requires you to keep. Where you need an authoritative record of amounts charged or paid, rely on the records of the product that processed them rather than on the Service.

12. Limitation of Liability

To the maximum extent permitted by law, Namirasoft and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising from or related to your use of or inability to use the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the total amount you paid us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of these limitations may not apply to you, and in those cases our liability is limited to the smallest amount permitted by law.

13. Consumer Rights

Nothing in these Terms limits, excludes, or modifies any right or remedy you may have under applicable consumer protection law that cannot legally be limited, excluded, or modified. Where such law applies, the disclaimers and limitations above apply only to the extent permitted by that law.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Namirasoft and its personnel from any claims, damages, liabilities, and reasonable expenses arising out of your use of the Service, your violation of these Terms, or your violation of applicable law or the rights of a third party. This section does not apply to the extent a claim results from Namirasoft’s own conduct.

15. Suspension and Termination

We may suspend or terminate your access to the Service if you violate these Terms or use the Service in a way that risks harm to others or to the ecosystem. We may also suspend access temporarily, with or without notice, to protect the security and integrity of the Service, its users, or the ecosystem, including where your account appears compromised or shows suspicious activity. Where reasonable and lawful, we will provide notice. You may stop using the Service at any time. Provisions that by their nature should survive termination will continue to apply.

16. Modifications to the Service

We may change, improve, or discontinue features of the Service over time. Where a change materially reduces core functionality, we will make reasonable efforts to provide notice through Namirasoft Services.

17. Export and Sanctions Compliance

You represent that you are not located in, and will not use the Service from, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable Canadian or United States trade and sanctions laws. You agree to comply with all applicable export control and sanctions laws in your use of the Service.

18. Dispute Resolution and Governing Law

Before starting any formal proceeding, you agree to first contact us at accounts@namirasoft.com and attempt in good faith to resolve the dispute informally for at least thirty days. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws principles. You and Namirasoft agree to the exclusive jurisdiction of the courts located in British Columbia, Canada, for any dispute not resolved informally. Nothing in this section prevents you from bringing a claim in a small claims court or a consumer tribunal where applicable law gives you that right.

19. Force Majeure

Namirasoft is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, outages, network or infrastructure failures, acts of government, or labor disruptions.

20. Assignment

You may not assign or transfer these Terms without our prior written consent. Namirasoft may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors.

21. Entire Agreement

These Terms, together with the Namirasoft Account Terms of Service and any documents they reference, form the entire agreement between you and Namirasoft regarding the Service, and supersede any prior agreements on that subject.

22. No Waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

23. Severability

If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

24. Notices

We may provide notices to you through the Service, through Namirasoft Account, or by email to the address associated with your account. You may send notices to us at accounts@namirasoft.com.

25. Survival

Sections relating to intellectual property, disclaimers, no professional advice, limitation of liability, consumer rights, indemnification, dispute resolution, and any other provisions that by their nature should survive, will survive termination of these Terms.

26. Changes to These Terms

Namirasoft may update these Terms at any time to reflect changes in the Service, legal requirements, or security practices. When material changes occur, Namirasoft may notify users through email and/or announcements through the Service or its website, where appropriate or as required by applicable law. Your continued use of Namirasoft Balance after updates are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
