Terms of Service

Namirasoft Donate (the Service) is owned and provided by Namira Software Corporation (Namirasoft, we, us, or our). These Terms of Service (the Terms) govern your access to and use of the Service. By accessing or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.
Namirasoft Donate is part of the broader Namirasoft ecosystem and operates together with your Namirasoft Account. Use of the Service is also subject to the Namirasoft Account Terms of Service. These Terms apply specifically to Namirasoft Donate and do not replace the Namirasoft Account Terms of Service. If there is any conflict between the two for your use of this Service, these Terms control for the Service. We may update these Terms over time; see Changes to These Terms.
1. Definitions
- Namirasoft: Namira Software Corporation.
- Service: Namirasoft Donate.
- Namirasoft Services (the ecosystem): the broader family of Namirasoft products that operate with your Namirasoft Account.
- Account: your Namirasoft Account, which authenticates you across Namirasoft Services.
- Contribution: a voluntary payment you choose to make in support of Namirasoft, in an amount you select, which is not a charitable donation and buys no product, feature, or service.
- Stripe: Stripe, Inc. and its affiliates, the independent payment provider that hosts the checkout page and processes Contributions.
2. Account Registration
To use Namirasoft Donate you must have an active Namirasoft Account, which authenticates you and opens the Namirasoft Donate console. Registration and identity are governed by the Namirasoft Account Terms of Service and the Namirasoft Account Privacy Policy.
3. Age Requirement
The Service is not intended for individuals under 18 years of age. By using the Service, you represent that you are at least 18 years old. Eligibility and accounts are managed by Namirasoft Account; if Namirasoft Account determines that an account belongs to a person under 18, the account and its information are handled under the Namirasoft Account Terms of Service.
4. Account Security
You are responsible for keeping your Namirasoft Account credentials and tokens confidential and for all activity that occurs under your account. Any use of the Service through your account is considered authorized by you. Report any unauthorized access or suspected misuse promptly through support.namirasoft.com.
5. Description of the Service
- Purpose: The Service lets you voluntarily support the software Namirasoft builds. It presents the option to contribute and hands you to Stripe to complete the payment.
- Entirely voluntary: You are never required to contribute. Namirasoft applications and free plans remain available to you on the same terms whether you contribute or not.
- You choose the amount: The amount is selected by you on the checkout page. Namirasoft does not set a minimum expectation of support.
- A single payment: A Contribution is a one time payment. The Service does not create a subscription and does not schedule any further charge.
- Payment handled by Stripe: The payment is completed on Stripe’s own checkout page under Stripe’s terms. Namirasoft does not take your card details and does not hold or move the funds.
- No record kept here: Namirasoft Donate does not store a record of your Contribution. The completed transaction is recorded by Namirasoft Payment and appears as an entry in your ledger in Namirasoft Balance, each under its own terms.
6. Nature of a Contribution
A Contribution is a voluntary payment in support of our work. It is not a purchase, and it does not entitle you to any product, feature, plan, service level, priority, or other benefit, now or in the future. Namirasoft is a software company and not a registered charity. A Contribution is therefore not a charitable donation, it is not tax deductible, and Namirasoft does not issue tax receipts or charitable donation receipts for it. If you need to record a Contribution for your own purposes, use the payment confirmation Stripe sends you. Nothing in the Service should be understood as tax, accounting, or legal advice, and you are responsible for how you treat a Contribution in your own records and returns.
7. Payments, Errors, and Refunds
Contributions are processed by Stripe, and the payment itself is governed by Stripe’s terms and by the terms of the payment method you use. You are responsible for ensuring you are entitled to use that payment method. Because a Contribution is voluntary and buys nothing, it is generally not refundable; if you believe a Contribution was made in error, was made without your authorization, or was charged incorrectly, contact us through Namirasoft Support and we will review the request with reference to the transaction recorded in Namirasoft Payment and respond in accordance with applicable law. Nothing in this section limits any refund, chargeback, or cancellation right you have under applicable consumer protection or payment services law.
8. Acceptable Use
When using the Service, you agree to: use it only for its intended purpose and in compliance with applicable laws; not use it to launder money, to test stolen or unauthorized payment instruments, or for any other unlawful purpose; not interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure; not reverse engineer, decompile, scrape, or use automated means to extract data from the Service, or attempt to discover its source code or underlying structure, except to the extent this restriction is prohibited by law; not conduct security testing without our prior written permission; and report unauthorized access or suspicious activity promptly.
9. Data and Privacy
The Service stores no record of a Contribution and relies on Stripe to process the payment. What this Service itself handles is described in the Namirasoft Donate Privacy Policy. Anything you enter on the checkout page is governed by Stripe’s own privacy policy; the recorded transaction by Namirasoft Payment and the ledger entry by Namirasoft Balance, each under its own Privacy Policy; and identity and authentication by the Namirasoft Account Privacy Policy.
10. Intellectual Property
The Service, including its software, design, text, and trademarks, is owned by Namirasoft and protected by applicable laws. Making a Contribution grants you no licence, ownership interest, equity, or other right in Namirasoft, its products, or its intellectual property. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted. If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free, perpetual license to use them to improve our products, without obligation to you.
11. Third-Party Services
The Service depends on Stripe as an independent payment provider, and your use of the checkout page is governed by Stripe’s own terms and privacy policy. Namirasoft is not responsible for the independent practices of Stripe or of the provider of the payment method you choose. If you separately access a service outside the Namirasoft ecosystem, that service is governed by its own terms.
12. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Namirasoft does not warrant that the Service will be uninterrupted or error free, and does not warrant the availability or performance of Stripe or of any payment method. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
13. Limitation of Liability
To the maximum extent permitted by law, Namirasoft and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising from or related to your use of or inability to use the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the total amount you paid us in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of these limitations may not apply to you, and in those cases our liability is limited to the smallest amount permitted by law.
14. Consumer Rights
Nothing in these Terms limits, excludes, or modifies any right or remedy you may have under applicable consumer protection law that cannot legally be limited, excluded, or modified. Where such law applies, the disclaimers and limitations above apply only to the extent permitted by that law.
15. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Namirasoft and its personnel from any claims, damages, liabilities, and reasonable expenses arising out of your use of the Service, your violation of these Terms, or your violation of applicable law or the rights of a third party. This section does not apply to the extent a claim results from Namirasoft’s own conduct.
16. Suspension and Termination
We may suspend or terminate your access to the Service if you violate these Terms or use the Service in a way that risks harm to others or to the ecosystem. We may also suspend access temporarily, with or without notice, to protect the security and integrity of the Service, its users, or the ecosystem, including where your account appears compromised or a payment appears fraudulent. Where reasonable and lawful, we will provide notice. You may stop using the Service at any time. Provisions that by their nature should survive termination will continue to apply.
17. Modifications to the Service
We may change, improve, or discontinue features of the Service over time, including ending the ability to contribute. Where a change materially reduces core functionality, we will make reasonable efforts to provide notice through Namirasoft Services.
18. Export and Sanctions Compliance
You represent that you are not located in, and will not use the Service from, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable Canadian or United States trade and sanctions laws. You agree to comply with all applicable export control and sanctions laws in your use of the Service.
19. Dispute Resolution and Governing Law
Before starting any formal proceeding, you agree to first contact us at accounts@namirasoft.com and attempt in good faith to resolve the dispute informally for at least thirty days. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws principles. You and Namirasoft agree to the exclusive jurisdiction of the courts located in British Columbia, Canada, for any dispute not resolved informally. Nothing in this section prevents you from bringing a claim in a small claims court or a consumer tribunal where applicable law gives you that right.
20. Force Majeure
Namirasoft is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, outages, network or infrastructure failures, acts of government, or labor disruptions.
21. Assignment
You may not assign or transfer these Terms without our prior written consent. Namirasoft may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors.
22. Entire Agreement
These Terms, together with the Namirasoft Account Terms of Service and any documents they reference, form the entire agreement between you and Namirasoft regarding the Service, and supersede any prior agreements on that subject.
23. No Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.
24. Severability
If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
25. Notices
We may provide notices to you through the Service, through Namirasoft Account, or by email to the address associated with your account. You may send notices to us at accounts@namirasoft.com.
26. Survival
Sections relating to the nature of a Contribution, intellectual property, disclaimers, limitation of liability, consumer rights, indemnification, dispute resolution, and any other provisions that by their nature should survive, will survive termination of these Terms.
27. Changes to These Terms
Namirasoft may update these Terms at any time to reflect changes in the Service, legal requirements, or security practices. When material changes occur, Namirasoft may notify users through email and/or announcements through the Service or its website, where appropriate or as required by applicable law. Your continued use of Namirasoft Donate after updates are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service.
