Namirasoft Account (the Service) is owned and provided by Namira Software Corporation (Namirasoft, we, us, or our). These Terms of Service (the Terms) govern your access to and use of the Service. By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms for that organization.
Namirasoft Account is the identity you use across every Namirasoft product, and it is the account these products rely on to recognize you. Each Namirasoft product also has its own terms that apply to your use of that product. These Terms govern the Namirasoft Account itself; where a product’s own terms conflict with these Terms about your use of that product, the product’s terms control for that product, and these Terms control for the Account. We may update these Terms over time; see Changes to These Terms.
1. Definitions
- Namirasoft: Namira Software Corporation.
- Service: Namirasoft Account.
- Namirasoft Services (the ecosystem): the broader family of Namirasoft products that operate with your Namirasoft Account.
- Account: your Namirasoft Account, the identity and authentication record this Service maintains for you.
- Session: a signed-in connection from a particular device.
- Credentials: your password and the authentication tokens issued to your Sessions.
2. Eligibility and Registration
To use the Service you must be at least 18 years old and able to form a binding agreement. You create an Account by registering with your name, email address, country, and a password, or by using a supported sign-in provider such as Google or GitHub. You agree to provide accurate and complete information and to keep it up to date. You may hold an Account only if you are permitted to under applicable law, and you may not create an Account using another person’s identity or on another person’s behalf without authorization.
3. Age Requirement
The Service is intended only for individuals who are at least 18 years old. By using the Service, you represent and warrant that you are at least 18. We do not knowingly provide the Service to anyone under 18, and if we determine that an Account belongs to a person under 18, we may close it and delete its information.
4. Your Credentials and Account Security
You are responsible for keeping your Credentials confidential and for all activity that occurs under your Account. Any use of the Service or of Namirasoft Services through your Account is considered authorized by you. You agree to choose a strong password, to sign out of Sessions you no longer use, and to notify us promptly of any unauthorized access or suspected misuse through support.namirasoft.com. Where you sign in through Google or GitHub, you are also responsible for the security of that provider account.
5. Description of the Service
- Identity provider: The Service registers you, authenticates you, and lets the Namirasoft products recognize you without asking for your password again.
- Verification: You can verify your email address and phone number so we can confirm they belong to you and use them to help secure and recover your Account.
- Sessions: The Service records your signed-in Sessions and lets you review them and sign out of any device.
- Consent records: The Service records which version of the Terms of Service and Privacy Policy you accepted for each Namirasoft product, so both you and we have an accurate record of what you agreed to and when.
- Settings: The Service holds your profile and your notification preferences for Namirasoft products.
Namirasoft may provide the Service free of charge. Any fees, subscriptions, and billing for paid Namirasoft products are handled by Namirasoft Payment under its own terms.
6. Acceptance and Consent Records
When you register, and when you first use a Namirasoft product or accept an updated policy, you accept the applicable Terms of Service and Privacy Policy. As part of the Service, we record that acceptance, including the version you accepted and when. These Consent Records apply across Namirasoft Services and let each product confirm that you have accepted its current terms. If you do not accept the applicable terms, you must not use the Service or the product concerned.
7. Acceptable Use
When using the Service, you agree to: use it only for its intended purpose and in compliance with applicable laws; provide accurate registration information; not impersonate another person or misrepresent your identity or your authorization to act for an organization; not create or use an Account to abuse, defraud, or gain unauthorized access to the Service, to Namirasoft Services, or to other users; not share, sell, or transfer your Account or Credentials to another person; not interfere with, disrupt, or attempt to gain unauthorized access to the Service or its infrastructure; not reverse engineer, decompile, scrape, or use automated means to extract data from the Service, or attempt to discover its source code or underlying structure, except to the extent this restriction is prohibited by law; not conduct security testing without our prior written permission; and report unauthorized access or suspicious activity promptly.
8. Third-Party Sign-In
If you register or sign in using Google, GitHub, or another supported provider, your use of that provider is governed by its own terms and privacy policy, and Namirasoft is not responsible for its practices. You are responsible for maintaining access to any provider account you use to sign in; if you lose access to it, you may lose the ability to sign in to your Account through that method.
9. Data and Privacy
The collection, use, storage, retention, and protection of the information handled by the Service, including your identity information, Sessions, and Consent Records, are governed by the Namirasoft Account Privacy Policy. Because the Service is the identity provider for the ecosystem, that Privacy Policy is the one other Namirasoft products point to for identity and authentication.
10. Intellectual Property
The Service, including its software, design, text, and trademarks, is owned by Namirasoft and protected by applicable laws. You retain any rights you may have in the identity information you provide, and Namirasoft does not claim ownership of your underlying business records or data. You may not copy, modify, distribute, or create derivative works from the Service except as expressly permitted. If you send us feedback or suggestions, you grant us a non-exclusive, royalty-free, perpetual license to use them to improve our products, without obligation to you.
11. Suspension, Restriction, and Termination
We may suspend, restrict, or terminate your Account if you violate these Terms, if your Account appears compromised or is used for fraud, abuse, or other prohibited activity, or where required to protect the Service, its users, or the ecosystem. Where a decision to restrict or suspend an Account produces a significant effect on you, you may ask us to review it and contest it, as described in the Privacy Policy. Where reasonable and lawful, we will provide notice. Suspending or terminating your Account may prevent you from using Namirasoft products that rely on it. You may stop using the Service at any time.
12. Account Deletion
You can request deletion of your Account at any time. When you do, your Account is scheduled for deletion and enters a grace period during which you can cancel the request and restore your Account. After the grace period ends, your Account and its information are removed from active use and then permanently erased, as described in the Namirasoft Account Privacy Policy, except for information we must retain to comply with applicable law or for legitimate business, security, and record-keeping purposes. Deleting your Account may end your access to Namirasoft products that rely on it, and each product handles the data it holds under its own terms.
13. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Namirasoft does not warrant that the Service will be uninterrupted, error free, or completely secure. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
14. Limitation of Liability
To the maximum extent permitted by law, Namirasoft and its personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, or goodwill, arising from or related to your use of or inability to use the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim relating to the Service will not exceed the total amount you paid us for the Service in the twelve months before the event giving rise to the claim. Some jurisdictions do not allow the limitation or exclusion of certain damages, so some of these limitations may not apply to you, and in those cases our liability is limited to the smallest amount permitted by law.
15. Consumer Rights
Nothing in these Terms limits, excludes, or modifies any right or remedy you may have under applicable consumer protection law that cannot legally be limited, excluded, or modified. Where such law applies, the disclaimers and limitations above apply only to the extent permitted by that law.
16. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Namirasoft and its personnel from any claims, damages, liabilities, and reasonable expenses arising out of your use of the Service, your violation of these Terms, or your violation of applicable law or the rights of a third party. This section does not apply to the extent a claim results from Namirasoft’s own conduct.
17. Modifications to the Service
We may change, improve, or discontinue features of the Service over time. Where a change materially reduces core functionality, we will make reasonable efforts to provide notice through Namirasoft Services.
18. Export and Sanctions Compliance
You represent that you are not located in, and will not use the Service from, a country or region subject to comprehensive sanctions, and that you are not a person with whom dealings are prohibited under applicable Canadian or United States trade and sanctions laws. You agree to comply with all applicable export control and sanctions laws in your use of the Service.
19. Dispute Resolution and Governing Law
Before starting any formal proceeding, you agree to first contact us at accounts@namirasoft.com and attempt in good faith to resolve the dispute informally for at least thirty days. These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict of laws principles. You and Namirasoft agree to the exclusive jurisdiction of the courts located in British Columbia, Canada, for any dispute not resolved informally. Nothing in this section prevents you from bringing a claim in a small claims court or a consumer tribunal where applicable law gives you that right.
20. Force Majeure
Namirasoft is not liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, outages, network or infrastructure failures, acts of government, or labor disruptions.
21. Assignment
You may not assign or transfer these Terms, your Account, or your Credentials without our prior written consent. Namirasoft may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. These Terms bind and benefit the parties and their permitted successors.
22. Entire Agreement
These Terms, together with the Namirasoft Account Privacy Policy and the terms of the Namirasoft products you use, form the entire agreement between you and Namirasoft regarding the Service, and supersede any prior agreements on that subject.
23. No Waiver
Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.
24. Severability
If any provision of these Terms is found to be unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
25. Notices
We may provide notices to you through the Service or by email to the address associated with your Account. You may send notices to us at accounts@namirasoft.com.
26. Survival
Sections relating to your Credentials, acceptance and Consent Records, intellectual property, disclaimers, limitation of liability, consumer rights, indemnification, dispute resolution, and any other provisions that by their nature should survive, will survive termination of these Terms or deletion of your Account.
27. Changes to These Terms
Namirasoft may update these Terms at any time to reflect changes in the Service, legal requirements, or security practices. When material changes occur, Namirasoft may notify users through email and/or announcements through the Service or its website, where appropriate or as required by applicable law. Your continued use of Namirasoft Account after updates are posted constitutes acceptance of the revised Terms, and we record that acceptance. If you do not agree with the updated Terms, you must stop using the Service and may request deletion of your Account.
